Security form field reference

Look up the fields for shares, options, RSUs, warrants, SAFEs, and notes, including plan selection, vesting, classification, and correction records.

Choose the holder and instrument first

Open Issue security, select the instrument type, and choose the stakeholder. The form also supports creating a new holder with a name and type. Reuse an existing holder when it represents the same person or entity.

The fields change with the selected type. Use the quantities and terms in the underlying records. Saving a record does not issue a legal document, approve an award, collect consideration, or send a holder an invitation.

Linked exercise and repurchase records can display additional paid-price or repurchase-price fields. Read their hints: they describe a specific linked event, not another general share issuance.

Options

The strike can prefill from recorded FMV for the grant date. Verify it against the grant terms before saving. Record subsequent exercises and cancellations through lifecycle actions, not by reducing Options granted.

RSUs and warrants

RSUPlan, Settles into class, Units granted, Grant date, vesting and acceleration, and Settles only on a liquidity event. There is no strike.
WarrantUnderlying share class when available, Warrant shares, Exercise price, Issue date, and optional Expiration date. Warrants do not draw from an equity plan.

An RSU liquidity condition is a recorded term. The app does not detect an external liquidity event or automatically settle the award. Use the settlement workflow for the actual event. Warrants have no dedicated exercise or cancellation workflow in the current app; see Manage warrants and workflow limits.

SAFEs and convertible notes

Convertible fields

The app models supported terms, not every provision of a financing agreement. Keep side letters, amendments, interest conventions, and other unsupported terms with the source documents and reconcile their treatment separately.

Review plan selection, schedules, and existing records

When plans exist, option and RSU forms offer eligible plans for the selected date and instrument. The default can select the most recently adopted open eligible plan. Check it explicitly; an award outside every plan still contributes to fully diluted shares but draws no reserve.

Regular vesting can be monthly, quarterly, or annual. Custom tranches specify dates and whole quantities; a new or changed schedule must cover the award’s required quantity. The editor supports up to 120 tranches. Follow Advanced vesting for schedule changes after earlier exercises or settlements.

Existing security forms include an optional Reason for change, a View history link, and Attachments. Attachment changes save immediately and independently of Save changes. Linked records can restrict changes to quantity, dates, or holder; inspect the specific refusal before correcting a transaction chain.
