Reconcile equity-plan reserve movements

Read an equity plan’s movement ledger, reconcile authorized and committed shares, and review recycling, retirement, and split adjustments.

Open the plan’s movements

Open Share classes, find the equity plan, and open its movements action. The dialog shows reserved shares, amounts poured in or out, authorized shares, committed shares, and availability.

Read each dated movement and its running available balance. Use Export CSV for a worksheet containing the changes, balances after each row, and closing totals. The ledger states whether the movements reconcile to the current plan balance.

Reconcile the balance

For each plan, available = authorized − committed. Authorized here describes that plan’s capacity after the applicable reserve and inter-plan movements; it is separate from a share class’s authorized-share limit.

These figures assume no other awards, transfers, recycling rules, or splits. A negative available balance identifies overcommitment. Do not change valid award quantities to hide it; review the plan assignment, adopted reserve, and source records.

Read recycling and informational rows

A cancellation can return capacity to the same plan, leave it committed, or pour it into another plan according to the recorded rule. Exercise and settlement do not necessarily release capacity: under the default treatment, issued shares remain committed to the plan.

Some rows explain an event with no net change in authorized or committed shares. A zero change is useful evidence that the event was considered. A reserve transfer changes the affected plans; review both ledgers.

Recycling rules apply to the plan’s past and future awards in the current calculation. Editing them can change historical interpretations. Record the terms that actually apply and retain earlier reviewed reports when needed.

Check date and split conventions

The movement ledger and its CSV use today’s share units, including earlier movements. A split row can explain rounding left by a stock split. A historical Cap table snapshot instead uses the units applicable on its selected date.

Compare reports in the same units before concluding that their reserves differ. The reserve editor takes a new total for its effective date, not an increment to add. For a move between plans, use the reserve-transfer workflow so both sides are recorded.

Review retirement, reopening, and deletion

Retiring a plan retains its grants and movement history. Its unallocated shares no longer contribute to fully diluted ownership. Review any transfer of the remaining reserve into a successor plan.

Reopening removes the recorded retirement date and makes the plan active again, subject to its other eligibility terms such as expiration. This can change earlier-date interpretations; it is not a second dated adoption event. Deleting a plan is refused when records still refer to it. Keep an established plan’s history through retirement rather than deleting records that explain valid awards.
